Not if your business was formed in the United States. Guides from before 2025 say to file a beneficial ownership information (BOI) report with FinCEN; that no longer applies to U.S. companies.
What changed
The Corporate Transparency Act created BOI reporting. On March 26, 2025, FinCEN published an interim final rule removing the requirement for U.S. companies and U.S. persons. Its final rule of August 11, 2026, effective August 14, made that permanent.
Who still files
Only entities formed under a foreign country’s law and registered to do business in a U.S. state or tribal jurisdiction, unless exempt. If that’s you, see FinCEN’s BOI page.
Do this
- Confirm where your business was formed. If you filed your LLC or corporation with a U.S. state, it’s a U.S. company.
- Check before you pay for a BOI filing that a letter, email or formation service offers. Compare it with FinCEN’s BOI page.
- Spend the time on your state’s filings instead. Your state’s Stay compliant step lists them.

Common questions
Does my new LLC need to file a BOI report?
Not if it's a U.S. company. FinCEN exempts U.S. companies from BOI reporting.
Is the BOI exemption permanent?
FinCEN issued a final rule on August 11, 2026, effective August 14, 2026, that makes permanent the exemptions first introduced in its March 26, 2025 interim rule.
I got a letter saying I must file a BOI report. What should I do?
Check it against FinCEN's BOI page before paying anyone. U.S. companies don't file.
