Stay compliant in Oklahoma

The Oklahoma deadlines that come back every year. The LLC certificate, income and sales tax, and the employer accounts.

Checked against official sources on

General information, not legal or tax advice. Requirements vary and change, so confirm current instructions with the official source before you act, and ask a CPA or attorney about your situation.

Oklahoma’s recurring dates are an LLC certificate on the anniversary, income tax in the spring, sales tax on the 20th, and employer accounts if you have people on the payroll. The LLC notice goes only to the email on file, so keep that address current.

What’s different in Oklahoma

  • The LLC certificate is not the same day for every business. It falls on the anniversary of formation. A corporation does not have that form on the current forms list.
  • Franchise tax returns stopped after tax year 2023. There is no return for tax year 2024 or later.
  • Individual income tax can be due April 20 when the return and the payment are both electronic. The paper date is April 158.
  • Workers’ compensation covers most businesses, and you can buy it from a private insurer. The page does not list exemptions.

Do this

  1. File the LLC annual certificate on the anniversary. You can also file online. The fee is $25, due each year on the anniversary of filing the articles or the registration. The notice goes only by email, to the address on file15. If it is not filed within 60 days after the due date1, the company ceases to be in good standing and becomes inactive. If the company has already gone inactive, the reinstatement form has no fee16, and you file an annual certificate for each year that is past due2.
  2. For a corporation, there is no franchise tax return for a current year. The other-taxes page says there is no franchise tax return for tax year 2024 and after. Tax year 2023 was the last one6. The annual certificate on the Secretary of State fee schedule is a foreign corporation’s filing, in the next step. A corporation formed in Oklahoma does not file it.
  3. A foreign corporation pays a yearly registered-agent fee and files an annual certificate. The Tax Commission’s Form 200-R puts the fee at $10017 for every foreign corporation, nonprofits included. It is due July 1, 2026, for the 2026-2027 form6. Read the form for the year you are paying. Under state law, every foreign corporation files a certificate with the Secretary of State on the anniversary of its qualification, showing the most capital it has had invested in Oklahoma. The Secretary of State forms list does not label a separate foreign-corporation annual-certificate form; confirm the submission route with the office. The certificate is $10, plus 1/10 of 1 percent of any capital invested in Oklahoma beyond the amount it has already paid on4.
  4. For a limited partnership, file the annual certificate of $5016. The same rule applies: if it is not filed within 60 days after the due date1, the LLC or limited partnership becomes inactive and not in good standing2. A limited liability partnership’s forms page does not list a yearly certificate.* Check before you skip a year.
  5. File income tax. OkTAP handles Oklahoma income-tax filing and payments where eligible. People: April 15, or April 20 when the return is filed electronically, and the payment that day also has to be electronic8. Single: for tax year 2026, no tax on the first 3,750 dollars, then graduated, up to 109.25 dollars plus 4.5 percent of income over 7,200 dollars. Married: for tax year 2026, no tax on the first 7,500 dollars, then graduated, up to 218.50 dollars plus 4.5 percent of income over 14,400 dollars. The report says head of household uses the married brackets18. C corporations: 4%, due no later than 30 days after the federal due date. To extend, use Form 504-C when Oklahoma tax is owed or the federal return is not extended. A federal extension covers Oklahoma only when no Oklahoma tax is owed. An extension to file is not an extension to pay, and 90 percent of the tax has to be paid by the original due date. An S corporation is not taxed by Oklahoma on income allocated to a resident shareholder. A nonresident shareholder's share is taxed at the corporation unless Form 512-SA was filed with the original return6. Pass-through entities use the same due-date rule. An electing entity pays 4.5% on income allocated to individuals and trusts for tax year 2026, and 4%19 on income allocated to entity owners. The election is made on Form 586 by itself, or on OkTAP, no later than two months and 15 days after the year begins. Starting with tax year 2024 it can also go with the timely return, extensions included. For nonresident owners, tax is withheld on distributions to individual nonresident members, unless the member has given you Form OW-15. Withholding is not required for members of an electing pass-through entity7.
  6. File sales tax on OkTAP by the 20th if you are registered. It is due the 20th of the next month. A report is due the next business day when the due date is a Saturday, Sunday or observed state holiday. The law allows filing twice a year when the tax remitted does not exceed 50 dollars a month, due July 20 for January through June, and January 20 for July through December. Late business tax is 10% plus interest of 1.25%7 a month. Rates are on Get your tax IDs.
  7. If you have employees, keep the employer accounts current. Use OkTAP for withholding and the OESC Employer Portal for quarterly unemployment reports and payments. Withholding is remitted quarterly when you withhold less than 500 dollars in a quarter, on the federal semi-weekly schedule, if that is the federal schedule you follow, or monthly for everyone else. Tax is not withheld on payments to independent contractors7. For unemployment, you file a quarterly report on every active account, even when no wages were paid. Under OAC 240:10-5-91, quarterly wage reports and contributions are due the last day of the month after the quarter (April 30, July 31, October 31 or January 31)10. After a notice of non-receipt, an experience-rated employer owes $200 plus 10% of the contributions if the report is still missing 15 days later. Interest is 1%9 a month. For 2026 the wage base is $25,00020. For 2027 it is $24,40011. Report new hires within 20 days. When you recall a laid-off employee, report the employee again, marked recalled, using the return-to-work date after the layoff ends14.
  8. Renew the local license and any trade license on their own dates. City licenses, contractor and trade licenses, and alcohol licenses are on Licenses and permits.
  9. Replace a registered agent who leaves. For an LLC use the Secretary of State agent-change form; for another structure, choose its form from the Secretary of State forms list. The change is $2516. The agent has to keep an Oklahoma street address, not a post office box, open during regular business hours15. The Secretary of State becomes an LLC’s agent when the registered agent resigns and the LLC has not named a new one by the time the resignation takes effect, and state law then charges $40, due July 1 each year4. A limited partnership pays $100 a year for the same service, when the partnership does not keep an agent in Oklahoma, or its agent cannot be found at the agent's address5. These are the annual agent fees on the fee schedule. A business that keeps its own agent does not pay them.

Employer rules

Workers’ compensation, from the commerce page for employers: most businesses must cover employees. You can buy coverage from a private insurance company. If you need it, the same page points to CompSource Mutual Insurance Company13. It does not list exceptions.* Read the Workers’ Compensation Commission’s employer guide, or ask the commission, before you treat a small family business or a farm as exempt or as covered.

Minimum wage, from the Department of Labor: $7.25 an hour. State minimum-wage law covers an employer that federal law does not already cover once it has at least 10 full-time employees or equivalent, or grosses more than 100,000 dollars a year. Paydays: at least twice each calendar month, except for exempt employees12.

Unemployment: liable at $1,500 in a quarter or 20 weeks. Agricultural employers, domestic employers and some nonprofits have additional rules21. A new employer’s rate is 1.5%, until the employer has at least four quarters of history in a rate cycle11.

What you get back

A filed annual certificate for an LLC or limited partnership, filed tax returns, and current employer accounts. If the LLC certificate is missed long enough, the company ceases to be in good standing. The email on the articles is the notice to trust.
